Yes, I am also tired of seeing mining companies
who's board of directors consist of non-full time
mining men. So often (as with Armistice) the directors
seem to be only part timers, working on their other
buisnesses

Harvey Athin: Real estate broker/ Radio & TV actor.

Steven Reiken: President of Toys Toys Toys Inc.

Gregory Smith: President of Buffalo OIL co./ partner
of Smith & co.

And ALL three of these people are ALSO! members of
the companies audit committee ?!?!

Also I noticed in the ARMISTICE proxy it asks shareholders
to remove the restrictions on the number of shares issued.
BE VERY CAREFUL WITH THIS ONE. I own shares in a company
called Thermotec Technology which had 44 mil. shares. Then
the management got permission from shareholders to remove
restsictions on shares issued ------- only one year later
and 155 million shares outstanding !!!!! Along with a
hell of a lot of furious shareholders.

We should also be concerned about the number of directors.
The proxy states that AFTER the Jan.13th meeting they
may want to appoint more directors (which we of course
will not be able to vote on) as they see fit. This also
requires a change in the rules or permission by the
shareholders in this proxy / Jan 13th.
Does this mean they will be hiring on their wives to the
board and issuing stock options to them.....?
Remember....UNLIMITED SHARES........

I hate it when directors come up with proxys that say
VOTE IN FAVOR_____ , WITHHOLD VOTE______
What this is saying is, your voting for us or NOT AT ALL.
