As I have stated previously, I do expect the issuance of some new shares during this year. I believe that it is likely at year end there could be around 10 million shares outstanding.

As Gary stated, I also am looking at IFCI earning $2.5 - $3.5 million this year. That equates to .25 to .35 earnings per share. This would be absolutely fantastic. Now, should no conversions take place this year, the earnings are that much higher.

Also keep in mind that Livikias has to fork up $2,128,000 to exercise the option they have. This deal was likely made to provide for further financing in the future. PR firms don't usually have to pay for shares they receive. At this point I would say IFCI is not paying for the PR work. I have to get some details, but I also think the deal can be cancelled. As far as I'm concerned, this is a nonissue for this year. By the time it becomes an issue, IFCI should be on solid ground and able to absorb some of these shares.

As far as the preferred, I think Concepts former owners are involved and are not likely to be converting soon. I have to verify this so don't quote me just yet.
