Server" to Enhance Business-Critical Capabilities of
Windows NT Server Platform

SAN FRANCISCO -- May 7, 1996 -- Microsoft Corp. and Tandem
Computers Incorporated today announced a strategic alliance that will
further accelerate customer adoption of Windows NT Server in the
US$8.5 billion business-critical server industry.
Under terms of the agreement, Tandem will extend its proven,
reliable middleware technology--code-named "Nonstop ServerWare(tm)
Solutions"--and its high-performance ServerNet(tm) cluster
interconnect technology to the Microsoft(r) Windows NT Server
platform. In addition, Tandem(r) will participate in the Designed for
Microsoft BackOffice(tm) program, which assures customers that
Tandem's products have been tested and integrated with the Microsoft
BackOffice family of products. Tandem's middleware products support
applications that companies rely on to compete in a business world
that runs 24 hours a day.
The agreement, which calls for cross-licensing technology
patents, provides Microsoft and Tandem customers with "best-of-breed"
business-critical solutions, coupled with the cost-effective,
scalable, client/server technology of Windows NT Server.
Tandem's cluster-enabled solutions manage more than 90
percent of the world's securities transactions, 66 percent of the
credit card transactions and 80 percent of all automated teller
machine transactions, and are used by 35 of the largest
telecommunications companies.
Tandem will continue to develop and strongly support its open,
parallel Himalaya servers, which deliver the highest levels of
availability and scalability. Applications using NonStop
ServerWare(tm) Solutions will also be supported on Himalaya servers.
Tandem continues to work with its partners and independent
software vendors (ISVs) to expand their opportunities with Windows NT
Server. Also, Tandem and Microsoft will cooperate to create Windows
NT Server developer programs targeted for ISVs. Further, to help
provide customers with investment protection and support, Tandem
intends to train its technical sales staff to become Microsoft
Certified Product Specialists.
Steve Ballmer, executive vice president of Microsoft, said,
"With more than 22 years of experience, Tandem is the widely regarded
leader in business-critical computing. The largest companies in the
world rely on Tandem's NonStop solutions for true 7-day x 24-hour
availability and scalability. By extending Tandem's technology and
expertise to Microsoft's Windows NT Server, enterprise customers can
now enjoy the value of business-critical capabilities combined with
the cost-effectiveness and ease of use of Windows(r) based computing."
Roel Pieper, Tandem's chief executive officer, said,
"Microsoft and Tandem are taking 'expensive' and 'proprietary' out of
the business-critical computing equation. Windows NT Server has
gained tremendous credibility as a powerful, cost-effective platform
that links seamlessly with millions of PCs and tens of thousands of Windows-based applications. More and more businesses are realizing
they need to be able to scale up efficiently to higher levels of fast,
reliable data access. Windows NT Server and Tandem's fault-tolerant
NonStop technology are giving customers that kind of cost-effective,
scalable, business-critical capability."

Cooperative Clustering Technology Development Included

Tandem, continuing its work as one of Microsoft's core
clustering partners, will work as a leading contributor to Microsoft's
development of a common specification for clustering, code-named
"Wolfpack." When the first phase of "Wolfpack" is delivered,
scheduled for early 1997, customers will be able to use a variety of
hardware platforms to build high-availability Windows NT Server
clusters that allow a paired server to fail over to another server or
application. Tandem's reliable middleware NonStop ServerWare(tm)
Solutions products for Windows NT Server will provide
business-critical capabilities on top of the "Wolfpack" platform.
Under terms of the agreement, Microsoft will include Tandem's
ServerNet(tm) drivers in Microsoft's clustering products. The
ServerNet(tm) technology provides a high performance interconnect for
the Windows NT Server clustering environment.
Gary Stimac, senior vice president and general manager of
Compaq Computer Corporation, a previously announced licensee of
ServerNet(tm) technology, stated, "Compaq has long been a market
leader and strategic partner with Microsoft on the Windows NT Server
platform. We view Windows NT Server as a critical enabling element
for our distributed enterprise solutions. This agreement to extend
Tandem's NonStop ServerWare(tm) technology onto Microsoft's Windows NT
Server platform, strengthens and reaffirms a shared vision to provide
a standard Windows NT Server clustering that enables highly available
and highly scalable applications."

NonStop ServerWare(tm) Solutions to Enable Business-Critical
Applications

Tandem's NonStop ServerWare(tm) Solutions for Windows NT
Server will include 1) Tandem's parallel, scalable SQL database;
2) Tandem's clustered transaction processing environment supporting
the TUXEDO(r) and CICS(tm) transactional APIs; and 3) Tandem's
distributed messaging and object management environment.
Tandem's NonStop ServerWare(tm) technology will enable Windows
NT Server users to take advantage of Tandem's ISV portfolio of more
than 1,000 business-critical solutions. Such applications include
online transaction processing, electronic commerce, Internet/World
Wide Web, data warehousing and decision support, online analytical
processing, and other business-critical solutions for the finance,
telecommunications, retail, healthcare and transport markets.
