Metabasis Therapeutics Announces $41.3M Private Placement SAN DIEGO, Oct 03, 2005 /PRNewswire-FirstCall via COMTEX News Network/ -- Metabasis Therapeutics, Inc. (Nasdaq: MBRX) today announced that it raised approximately $41.3 million in a private placement of common stock and the concurrent issuance of warrants for the purchase of common stock. Under the terms of the financing, Metabasis sold approximately 7 million shares of common stock at $5.86 per share, the closing bid price for the company's common stock immediately preceding the entering into of the binding agreement for the transaction. The company also issued warrants to purchase approximately 2.45 million shares of its common stock at an exercise price of $6.74 per share. At the closing, investors in the financing paid an additional purchase price equal to $0.125 per each share issuable upon exercise of the warrants. SG Cowen & Co., LLC served as lead placement agent and Rodman & Renshaw, LLC served as co-agent for the transaction.
Participants in the financing included a mix of current and new institutional investors. The company intends to use the proceeds from the offering primarily for working capital purposes, including the further development of MB07133 for primary liver cancer, MB07803 for type 2 diabetes and MB07811 for the treatment of high cholesterol.
