Please inform us shareholders as to the status of the delayed 10K filing ,
and if there is a plan in place to file on time in the future.
A concerned shareholder.

The Company had expected to file the Form 10 early last week, however,
additional documentation was required for certain key elements of the
Company. Otherwise, the Form 10 would have been returned by the SEC
with comments that could have potentially caused further delays in this
tedious process.

Once the Company has filed its Form 10 and is a fully reporting company, it
will file the necessary reporting documents (10q's & k's) beginning in the
4th quarter of 1999.

The Company's battery division is growing faster than expected, and has
finalized several new agreements. The real estate division is also
aggressively moving forward with its Falls River Development in Raleigh,
NC. The HIV salive screen test division is also making solid strides ahead;
meetings with our strategic partner have been extremely encouraging.

The Company will announce the filing of its Form 10 immediately upon
filing. Announcements pertaining to new agreements and the
accomplishments achieved by each of the Company's divisions will be
released once the Company has returned to the NASDAQ Bulletin Board.

I can assure you that the Company is working very hard to get the Form 10
filed properly, and is focused on the business at hand.
