T & H RESOURCES LTD. OBTAINS RECEIPTS FOR FINAL PROSPECTUS

T & H Resources Ltd. ("T & H") (TSE-THE) announces that it has obtained
receipts from the Ontario Securities Commission and British Columbia
Securities Commission for a final prospectus which qualifies for distribution
4,000,000 common shares and 2,000,000 common share purchase warrants
upon the exercise of 4,000,000 special warrants previously issued an August
29, 1997 at a price of $0.50 per special warrant for proceeds of $2,000,000
and 1,200,000 common shares and 600,000 common share purchase warrants upon
the exercise of 1,200,000 special warrants previously issued on October 31,
1997 at a price of $0.50 per special warrant for proceeds of $600,000.
T & H is using the proceeds of the special warrant offerings to fund
exploration on T & H's oil and gas interests. |
