Trading has been suspended since Jan. 27, 1999, for failure to complete a junior capital pool major transaction in the required time. Effective at the opening, Jan. 31, 2000, trading will resume as indicated below.
The company has completed the JCP major transaction outlined in its information circular dated Nov. 30, 1999, previously accepted for filing by the Canadian Venture Exchange, and approved by minority shareholders on Dec. 23, 1999. As a result, at the opening of trading on Jan. 31, 2000, the company will no longer be considered a junior capital pool company. The JCP major transaction and certain related transactions are described in the information circular and summarized below.
The JCP major transaction consisted of the arm's-length acquisition by the company of all of the issued and outstanding common shares of Memex Electronics Inc. The total deemed consideration was $2,653,600 based on the issuance of 13.268 million common shares at 20 cents.
Memex designs hardware and software systems that enable Internet-based e-manufacturing -- the direct real-time control of machine tools on the factory floor. Its core business is the InterNetworking of computerized numerical control machine tools that effectively leverage a plant's information technology to identify, monitor and optimize bottlenecks in real-time production.
Post-JCP major transaction, the company will have 16.192 million common shares outstanding. Of these, one million shares will be subject to a three year time release escrow while 9.288 million shares will be subject to a performance release escrow with one share releasable from escrow for each 20 cents of cash flow from operations to a maximum of one-third of the number of shares originally escrowed being releasable in any one year.
In conjunction with the JCP major transaction, the company will change its name to e-Manufacturing Networks Inc.
Effective at the opening, Jan. 31, 2000, the common shares of e-Manufacturing Networks will commence trading on the CDNX, and the common shares of Harrier Capital Corporation will be delisted.
