Notes from my telephone conversation

1) She said the timing of the Cisco announcement was designed by the board to send a clear message to the street. We are running this show now (Qwest and Oak are calling the shots). Otherwise they would have let Harry stay on and make the call, or let the "new guy" finish it when he comes on board.

2) Apparently these are not the only 2 departures, the VP of sales and marketing is not long for the ARTT world (She didn't remember his name). She believes Qwest is making the calls on who the replacements will be.

3) The standstill agreement was designed to protect the interests of the non-operating investors, not ARTT itself. She says Qwest and Oak et. al. have an agreement where Qwest can't buy the whole company for less than 5X the price of the preferred ($8 per share) or $40.

4) Qwest is starting to get antsy that deals are getting done in the space (TGNT for example) and there is no way they can justify paying $40 with the stock at $15. Harry and his boy's were not willing to move fast enough (too worried about losing control of their "independent company") for Qwests tastes and so they booted them. The new guys are going to understand the "first mover" advantage, and turn it into shareholder value (I like this idea).

5) When the stock reaches $27 she says the clock is ticking on an offer by Qwest.

Last but not least she says that now that the unspoken quid pro quo has been established you will start to see some substantial institutional interest.

This is a 20 minute conversation boiled down into 5 paragraphs but I think I have given you most of the high points.

Love
Stockgirl
