Bonz.... I agree, I did not mean it that you mistook this form for the SB2, just reminding everyone where this whole thing stands. Has anyone added up the shares and at what price the converted stock is priced at ??? That's going to be your overhang, this is the stock that will be for sale when it all gets OK'd. I would assume Oct. for the SB2 based on the timeline of this document..... If the SB2 is NEVER deemed effective, there is probably (I do not know this for sure) a default in the convertable paperwork thats takes the convertable and changes the terms to be a Reg S transaction, either way, Kernigan wins. I am sure they have some sort of provision in this deal so they don't get burnt. But, in all honesty, the SB2 will go through....... ICE
