"On June 10, 1998, the Company sold 100% of CDP to a group headed by the executive management of CDP in exchange for (i) $1,400,000 (including $1,100,000 in operating loans made to CDP by the Company); (ii) a $100,000 note from the corporation acquiring CDP (the "Acquiror" or "College Directory Publishing Corporation") due upon the earlier of December 15, 1999 or completion of the Acquiror's initial public offering ("IPO"); $200,000 in preferred stock of the Acquiror convertible into $1,000,000 of common stock upon completion of an IPO by the Acquiror; and (iv) 750,000 shares of the Company's common stock that it issued when it acquired CDP in July 1997."

It is developing Virtual Directories -- online, unofficial campus telephone directories with additional features such as chatrooms, e-mail, and calendars. The company also plans to add information such as movie, music, and restaurant guides. Chairman and CEO Michael Paul started the company (previously known as College Directory Publishing) when he was a student at the University of Delaware in 1986. Paul and president John Rafanello (a fellow student) together own about 90% of U.Link.
(NewsTraders.com)-- U.Link Inc., a publisher of print and online campus telephone directories, filed with the SEC this afternoon to register up to $24.2 million of common stock for an initial public offering. The company hopes to sell 1.5 million common shares in the $12-to-$14 range, and raise net proceeds of $14.9 million. Such funds will be used to repay debt and fund working capital and potential acquisitions. During the 1998-99 school year, the company was the official publisher of 68 print college and medical school telephone directories, according to today's Form SB-2 regulatory document. The company, which aims to becoming the leading resource for businesses seeking to sell their products and services to the college market, said it terminated a short-term joint venture with collegestudent.com Inc. on June 1, and recently redefined its business strategy. U.Link noted that it is creating a new website, aroundcampus.com, in stages, with the first stage, covering 76 colleges, launched in early August.
