I will only admit, however, that "shall be" would be preferable. But there is nothing to detract from "will be." I think we're talking apples and oranges here. I don't disagree the capital structure (ie, number of shares out there) is the same. What I disagree with is the valuation. The section limits either party from issuing a new series of shares in order to increase there market value to unbalance any merger, combination, etc. Thus, if ESVS manages to issue stock for the private placement and raises the $50,000,000, the value of those shares won't be used in a valuation of the companies. The valuation at the time will be based on the same outstanding share structure that existed the day the agreement was written. BF
