Excerpts From Merryll Lynch

Investment Highlights:
o Industry sources indicate that NTT, a major telecom service provider in
Japan, has awarded Ascend a multi-year contract with a potential value of
several hundred million dollars.

o We believe that the contract includes frame relay switches and ATM
switches, which will be used for the build-out of an Internet network.

o We expect this contract to contribute modest revenues in the September
quarter.

o We continue to estimate EPS at $1.30-1.40 in 1997 and $1.80-2.00 in
1998.
