Leap Wireless International Sets Date for Special Meeting of Shareholders

SAN DIEGO, Aug. 8 /PRNewswire/ -- Wireless communications carrier Leap Wireless International, Inc. (Nasdaq: LWIN) today announced that the company will hold a special meeting of shareholders on Thursday, Sept. 28, 2000, at 3 p.m. at the Hilton La Jolla Torrey Pines. The hotel is located at 10950 North Torrey Pines Road in La Jolla, Calif. Leap shareholders of record on Aug. 10, 2000 are entitled to notice of and to vote at the special meeting. The purpose of the special meeting will be to approve an amendment to Leap's Amended and Restated Certificate of Incorporation to increase the authorized common stock of the Company from 75,000,000 to 300,000,000 shares, to approve the adoption of the Leap Wireless International, Inc. 2000 Stock Option Plan setting aside 2,250,000 shares of common stock for grants to employees, directors and consultants of the Company and its affiliates under the plan and to carry on such other business as may properly come before the shareholders. This special meeting will also include a "State of the Business" report to shareholders. Because the company has changed its fiscal year end from Aug. 31 to Dec. 31, the company's next annual meeting of shareholders is expected to occur in Spring 2001.
