The board of ARM Holdings is proposing to sub-divide each of the company's existing ordinary shares of 1p each into four new ordinary shares of 0.25peach. At the same time, it is proposed that each of the company's American Depositary Shares ("ADSs") will also be sub-divided into four new ADSs. It is hoped that this will improve the liquidity of the company's shares. The new ordinary shares of 0.25p each will have the same rights and be subject to the same restrictions as the existing ordinary shares of 1p each.

The proposals are subject to approval by the company's shareholders at the AGM to be held on 20 April 1999. The record date for the sub-division will be 20 April 1999. Subject to approval by shareholders, the sub-division is expected to become effective and dealings in the new ordinary shares of 0.25p each and the new ADSs are expected to commence on 21 April 1999. Further details of proposals will be
contained in a circular which will be posted to all shareholders in due course.
