Goodevening Charles,

I asked that question when the merger was first mentioned. The answer
that I got was that the new company would absorb the J.V. and honor the
deal. It would become part of the new company. Someone must feel that
it is a good prospect to follow through with it. I guess at this time
everything must look good until proven otherwise. Remember one thing,
this merger still has to be voted on by the shareholders. I'm sure when
that takes place we will have more details as to the J.V. that VSY made.
