Accelerates Delivery of Integrated Software Change Management Across the Enterprise on All Major Platforms From Mainframe to the Web

BURLINGAME, Calif., June 7 /PRNewswire/ -- SERENA Software ("SERENA"), (Nasdaq: SRNA), an industry-leading supplier of enterprise software change management solutions (SCM), today announced the signing of an agreement to acquire Diamond Optimum Systems ("Diamond"), a leading provider of software change management solutions for NT and UNIX environments. With this acquisition, SERENA can now address the growing requirements of organizations to implement a software change management solution spanning multiple platforms.

"This acquisition positions SERENA as the preferred supplier of software change management solutions across the enterprise," said Richard A. Doerr, CEO and President of SERENA. "In acquiring Diamond, we greatly improve our time to market with proven, competitive SCM products on all the leading platforms. In addition, this moves us immediately into the fastest growing segments of the market -- managing Windows and Web based development, which are increasingly being used as a front ends to traditional legacy applications."

"In Diamond we found a partner who also has many years of experience focused entirely on software change management," said Douglas Troxel, Chairman, Founder, and CTO of SERENA. "The deep understanding of SCM methodology we share is reflected by commonalities among our respective architectures and products, which is sure to speed our integration plans."

"Our single point of control over multiple heterogeneous platforms provides software development groups located anywhere in the world a seamless environment for developing across multiple platforms," said Igor Yasno, the Founder of Diamond Optimum. "We also consider our ease of implementation an additional point of competitive differentiation."

IT organizations today face an overwhelming mandate to increase the quality of service provided to the business end-user while at the same time lowering the cost of supporting the enterprise software infrastructure. SERENA's FULL.CYCLE(TM) Enterprise strategy provides end-to-end software change management solutions throughout the entire software life cycle. SERENA's Change Man(R) product, and its extension to Windows and Unix platforms, is crucial in the success of this strategy. SERENA's strong enterprise expertise, together with SERNET(TM) Enterprise, its foundation architecture for providing mainframe to desktop connectivity, and its innovative strategy for linking software change management across all major platforms, positions the company well to continue to serve the needs of large, corporate customers.

"Large companies are deploying mission critical applications on a multi-tier, multi platform architecture with mainframe databases, distributed Windows NT and/or Unix servers and Windows and Web-based clients," said George Logemann, Director of Management Strategies of the Yankee Group. "Companies have a compelling need for infrastructure software to manage these applications. With this announcement, SERENA is a logical vendor of choice."

SERENA's Change Man Mainframe is the leading software change management solutions for the OS/390 environment. Diamond CM supports Windows NT and leading Unix platforms, including IBM AIX, HP-UX, Sun Solaris, SunOS and HP MPE/iX with Windows and Java clients. The products share a flexible, package centered, process oriented approach.

Under the terms of the acquisition, SERENA will acquire Diamond Optimum in a purchase transaction for a combination of cash and stock. Igor Yasno, Founder of Diamond Optimum, will become the Vice President of Client Server Development for SERENA. The acquisition is expected to be completed next week.
