Inc. was formed in 1984 as IMSATT Corporation, a multimedia research and

In November 1997, the Company acquired HTR, Inc (founded in 1987), a
developer, marketer, and deliverer of turn-key training solutions for the
Information Technology (IT) market. The Company provided its training
services through instructor-led courses, seminars, consulting arrangements
and the development and publication of proprietary courseware. HTR worked
with independent software vendors to introduce and promote emerging, updated
or evolving information technologies through informational seminars, and
provided training fulfillment services and curriculum development. HTR also
offered proprietary and customized courses in the areas of operating systems,
network management, databases and groupware applications. With the
acquisition of HTR, UOL Publishing acquired KnowledgeWorks(tm). This branch
of HTR developed, published, produced and distributed proprietary courseware
that consisted of course books, self-study guides, and highly modular
proprietary content in various KnowledgeWorks-media forms. This acquisition
expanded the Company's courseware library, provided access to a wide variety
of customers nationwide, and expanded the Company's training into

UOL VCampus(TM) Enters New Markets With Payback Training Systems
MCLEAN, Va., June 3 /PRNewswire/ -- UOL Publishing, Inc. (Nasdaq: UOLP -
news), announced today that Payback Training Systems will use the web-based
VCampus(TM) distance learning platform to provide training to its clients in
the service industries, including the supermarket, foodservice, general
retail, and hospitality sectors.

Payback, a leading developer of technology-based training, including
computer-based training solutions for large employee populations, is using
the unlimited availability and reach of the VCampus to expand its services,
which already include CBT and stand-up training.
