FREMONT, Calif.--(BUSINESS WIRE)--21:00est--June 8, 1999--NHancement Technologies
Inc. (Nasdaq:NHAN), a provider of computer telephony integration (CTI) products and
services, received word that Nasdaq's Listing Qualifications Panel has issued a favorable
determination concerning the company's continued listing on The Nasdaq SmallCap Market.
The ruling was in response to the company's request for continued listing pursuant to an
exception to the net tangible assets/market capitalization/net income requirement as detailed
in Nasdaq Marketplace Rule 4310(c)(2). As announced by the company on February 24,
1999, the company had received notice from Nasdaq of the delisting of its Common Stock
due to the company's continued failure to comply with the Nasdaq SmallCap Market listing
requirements.
"We are very pleased with the results of the Nasdaq Listing Qualifications Panel's review
of the circumstances surrounding NHancement's continued listing," Doug Zorn, chief
executive officer, remarked today. "By completing the Nasdaq conditions and maintaining the
Nasdaq listing requirements we can continue our listing on the SmallCap Market and will
now be able to focus our energies on the continued profitability of our core businesses."
The Panel's determination was based in part on the company's return to profitability during
its second fiscal quarter, the management reorganization begun in January 1999, and on the
assurance by company principals that a sale by NHancement of $1,750,000 in convertible
preferred stock will be completed by June 15, 1999.
The terms of the ruling include the following conditions, which the company must satisfy in
order to continue listed status on the SmallCap Market:
