If I remember the recent news articles correctly, Disney is buying the rest of Infoseek as a precursor to them spinning off their internet properties. Other companies (Barnes and Noble comes to mind) have done similar spinoffs. This should help Disney's stock and help them keep/hire top internet employees. I think that Disney's and PA's motivations are different.
