INTCW is just a leveraged way to get into INTC. They move in tandem, but since the warrants are cheaper you can buy more and thus reap a higher or lower rate of return relative to INTC and depending if you are on the right side of the stock, long or short.
With regard to exchanging your warrants for actual shares, no one actually does that. If you want to own the shares it is much simpler to just sell your INTCW and buy INTC.
