Well, I thought they were moving themselves to Wyoming from Florida. Then there will be three entities: The Canadian one, the Wyoming one and the Antiguan one.

Well, I'm not 100% sure that is correct. According to the Form 10, the first phase will be the Wyoming change. The second will change the holding company to Antiguan based corporation. Am I reading it wrong? Here is the information from the filing:

We contemplate that the reorganization will be completed in two steps:

1. We will merge with and into our to be formed Wyoming subsidiary resulting in
the following corporate structure:

Bingo.com (Wyoming), Inc. (1)
(a Wyoming corporation)

Bingo.com (Canada) Enterprises Inc.
(a British Columbia corporation)

Bingo.com. (Antigua), Inc.
(an Antigua Corporation)

(1) Bingo.com (Wyoming) will take our place as a holding company for Bingo.com (Canada) and Bingo.com (Antigua). Your shares will become shares of Bingo.com (Wyoming).

2. Bingo.com (Wyoming) will continue out of Wyoming into Antigua and become an Antigua International Business Corporation resulting in the following corporate structure:

Bingo.com, Inc. (1)
(an Antigua International Business Corporation)

Bingo.com (Canada) Enterprises Inc.
(a British Columbia corporation)
Bingo.com. (Antigua), Inc.
(an Antigua Corporation)

(1) We, as Bingo.com (Wyoming), will file an Application for Certificate of Transfer with the Secretary of State of the State of Wyoming and we will become an Antigua International Business Corporation using our current name, Bingo.com, Inc. Your shares will then become shares of our newly continued Antigua corporation.
