SAN JOSE, Calif. (Dow Jones)--Alliance Semiconductor Corp. (ALC) valued its
investment in United Microelectronics Corp. (Q.UME) at $589 million, after
that company announced Monday that it would merge with four of its joint
ventures.
As reported in the Wall Street Journal Tuesday, United Microelectronics will
take ownership of United Semiconductor Corp., United Silicon Inc., United
Integrated Circuit Corp. and Utek Semiconductor Corp.
In a press release Wednesday, United Microelectronics said Alliance
Semiconductor (ALSC) will received 247.7 million shares of United
Microelectronics stock for its 247.7 million shares, or 14.76% ownership
interest in United Semiconductor and 35.6 million shares of United
Microelectronics for its 48.1 million shares, or 3.2% stake in United Silicon.
United Microelectronics expects to have 8.8 billion shares outstanding at
the merger closing date.
The merger is subject to shareholder and regulatory approvals and is
expected to close by the end of the year. United Microelectronics shares
received by Alliance are subject to a six-month lock up period before the
shares become freely tradable in Taiwan.
United Microelectronics makes semiconductors.
