J.D. Edwards Completes Acquisition of Numetrix Limited
Acquisition Extends J.D. Edwards Global Supply Chain Solution and Gives Customers Control to Capitalize on Business-to-Business Electronic Commerce
DENVER, June 17 /PRNewswire/ -- Enterprise business software provider J.D. Edwards & Company (Nasdaq: JDEC) announced today the completion of its acquisition of Numetrix Limited, a Toronto-based provider of Internet-enabled supply chain planning software. The transaction closed Wednesday, June 16, 1999.
J.D. Edwards acquired the stock of Numetrix for approximately $80 million cash in a purchase accounting transaction. The acquisition is expected to be accretive to cash earnings and slightly accretive to GAAP earnings by late fiscal 2000.
"This acquisition represents a tremendous advance for J.D. Edwards and our more than 5,000 customers worldwide," said Doug Massingill, President and CEO of J.D. Edwards. "Our customers will now enjoy a complete, integrated supply chain and enterprise software solution, specifically designed to address the Internet-based business-to-business commerce market. Numetrix's leading technology is an ideal fit with our architecture, which delivers the best agility of any enterprise solution in our industry."
The integration of Numetrix' operations with J.D. Edwards will be led by Gerry Bleau, who will serve as Vice President and General Manager. Bleau, who previously held the same title at J.D. Edwards Canada, will report to Dave Girard, Chief Operating Officer of J.D. Edwards. To assume Bleau's responsibilities for the Canadian operation, J.D. Edwards has appointed Robert Beauchemin (see related press release also issued June 17).
"I am excited about the opportunity to work with the Numetrix staff and customers and contribute to the ongoing enhancement of J.D. Edwards' global, integrated supply chain solution," said Bleau. "The planned integration of Numetrix products with J.D. Edwards SCOREx supply chain solutions will provide real-time web-based collaboration among customers, suppliers and trading partners, enabling organizations to rapidly seize emerging new business opportunities and accelerate business-to-business electronic commerce."
The company reaffirmed its plans to continue ongoing support for Numetrix customers who are also users of enterprise applications from other vendors. The addition of Numetrix's offerings extends J.D. Edwards' supply chain management solution -- to encompass planning, optimization and execution to meet customers' individual requirements. The global supply chain solution is a critical part of J.D. Edwards' recently announced ActivEra E-Business solution, which allows companies to act as a virtual enterprise with customers, suppliers and partners anytime, anyplace.
Powerful Solutions, Compatible Architectures
The solution from Numetrix supports the adaptability of J.D. Edwards' ActivEra(TM) business model, and the Company's Idea to Action(TM) value proposition. By decreasing process time and increasing asset utilization, the solution is designed to provide agility -- both in terms of more effective business decisions in the face of changing market conditions, and ultimately greater control over changing technologies. At the functionality and process levels, the Numetrix/3 supply chain management solutions complement J.D. Edwards' SCOREx supply chain initiative. In addition, Numetrix/xtr@ is the first product to market that offers supply chain management solutions utilizing the Internet.
Numetrix's innovative systems architecture (DOMA, or Distributed Object Messaging Architecture) alerts users to relevant changes anywhere within the supply chain, prioritizes the messages for each user in order of importance and provides every participant with optimization tools for managing change anywhere in the supply chain. J.D. Edwards' product architecture is similarly object-based, enabling enterprise applications to be modified easily with ActivEra during or after implementation, so customers can better respond to marketplace opportunities.
Taken together, J.D. Edwards' and Numetrix' network-centric approach to business computing provides for intelligent collaboration, allowing users to communicate more efficiently with suppliers and customers and execute business processes rapidly for competitive advantage.
