I finally talked to an intelligent life form at Brown&Co., and essentially he said what your broker said, that in the event of an over subscription, those shares tendered will be pro-rated. The way i take that if you tender, lets say, 100 shares, only a proportion will be tendered at 62 bucks. What the formula will be is anyone's guess, including most everyone at Brown and NDB.
