Keep in mind that the market has priced in an assumption that Qwest will now be looking to do large, dilutive deals (with it's lower growth rate). The managements of both FRO and USW will keep in mind what effect an actual successful takeover will do to Qwest's share value. They can accept a share ratio times market price but they probably also expect that to bleed with a successful closing.

I consider that Nacchio is also trying to make a takeover by BLS more difficult. He must be squirming right now.
