Great post. I thought that I read this regarding $'s mention of Gomez, but could not find it.

I also read the prospectus last night. The acquisition of DIR by dlj has to be at a 25% premium over the 20 day average stock price, descending to 15% over the next 3 years with one stipulation of a Clinton tax bill that hits DLJ with a tax on this kind of offering, which makes the premium 10%.
