The kicker in this deal is S3's 252 million shares of United Microelectonic Corp, currently valued at $600 million. With the chip cycle on the upswing, the S3 offer is worth a lot more than meets the eye. I think this is a good long term deal for DIMD holders because the current management team was running this company into the ground.
