Barnes & Noble and Bertelsmann, which each control approximately 48.9% of the voting power of barnesandnoble.com, collectively are able to exercise control over matters requiring barnesandnoble.com stockholder approval, including the election of all directors and approval of significant corporate transactions. In addition, through various inter-company managerial relationships, conflicts of interest could arise when corporate decisions are evaluated regarding barnesandnoble.com, Barnes & Noble and/or Bertelsmann. barnesandnoble.com's overall success is also dependent on Barnes & Noble's ability to provide barnesandnoble.com with distribution capacities (in 1998 Barnes & Noble accounted for approximately 60.3% of barnesandnoble.com's purchases). In addition, Bertelsmann, through its subsidiaries and online initiatives, may compete directly with barnesandnoble.com by selling Bertelsmann-published books and certain English-language books as well as videos, software or music. Due to this relationship, barnesandnoble.com is restricted in its ability to expand internationally and in its ability to independently enter into the book club business.
