The company has entered into debt settlement agreements with several creditors, subject to regulatory acceptance. The creditors have agreed to settle approximately $305,439.39 in debt by accepting approximately 1,131,257 shares of the company at a price of 27 cents per share. In addition to the above, the company is negotiating private placements."
