My understanding is that CMGI needs to own the assets of a business, not just stock in 40 or so assorted investments to avoid the mutual fund thing. Of course, it's much more complicated than this from a compliance issue.

But by directly owning the assets and related liabilities of a company such as AV or other company, they take a big step in meeting the SEC (and the IRS's) requirements.

They know how important meeting this requirement is, and when you can do it by buying a company that meshes well with substantially ALL of CMGI's current investments, then that's icing on the cake.

And an elegant way to posture for greater long term shareholder value.
