Michael, The NASDAQ Small Cap companies at least, must meet certain equity and reporting requirements. If they do not they can be delisted to the BB or even to the Pink Sheets, and no one wants to go there. While many of the BB's will not be profitable for years, some evade reporting for a myriad of reasons. A recent example was when World Wide Web Casinos attempted a forward triangular merger into USAG (a shell company) last year the deal fell apart because WWWC failed to comply with the audit requirements presumably because they could not account for all of the money they raised from investors. The last I heard the matter was still unresolved and shareholder lawsuits still pending.
