One of the elements is that you must prevail... in-other-words, when the suit terminates by dismissal, summary judgment or verdict, you must prevail. You can still file your counter-claim at the same time you are sued and that is a good practice because it will require that their attorney not only bring the plaintiff's case but also defend a counter-claim for a malicious / frivelous suit. It is hard to prevail for a malicious or ficticous suit because it is often-times impossible to PROVE what someone is thinking or what's in their heart (even though you really know).... you still have to prove it.
