Actualy the giver of the gift is the one liable for the tax.

The slow downward trend of the stock price seems to occasionally get bounced around by events such as the company talking about getting into a new product like this encryption stuff. I think Denis and his crew probably have a couple more of these events in store so that with stock sales etc. the company will be able to last a couple more years at a minimum. It will get very interesting if COPY's auditors force them to make a significant write-off of A/R and Inventory so that they fall below legal minimums for NASDAQ listing. Then their only short-term recourse would be to issue enough new shares to stay over the threshold. The price could be low at that point and I think the number of shares (likely with some warrants since this is their normal MO) would cause some serious dilution and the whole house of cards could tumble at that point. I am not counting on this but it could happen.
