Today I called and spoke to a Mr. Mike Clampton, the Chief Counsel of Office for the Division of Corporate Finance (with the SEC) at: 1-202-942-1772. I called because there are a lot of people concerned about all the language in their two recent filing of their 10QSB's (6-18-99 & 6-22-99). People are saying that all that stuff about improperly issuing shares refers to present day problems, and maybe they were under investigation again.

The answer is a flat NO. Mr. Clampton told me that although the SEC does not comment on any current investigation, he told me that any company which is under scrutiny by the SEC is "obligated" to report this when they file. If they did not, they would be in trouble with the SEC. He said this information would be found in the "Legal Proceedings" section of the filing, which is at the very bottom of the report. Here is the link for their 6-22-99 filing. As you can see, there is no mention of any current investigations or inquiries by the SEC, into MPTV. That information concerns old events. The SEC took MPTV to court and settled the matter. I had the clerk pull up that particular case, and the case is officially "closed".
