I don't know about that Bob. It sounds highly exothermic to me!!!
I am curious to know exactly what this means too.

Hilton pays Berkley $2.45MM and gets 7% GSJ + 1.225%bpo ELH.
Trimark pays Berkley $1.45MM and gets 4% GSJ + 0.7%bpo ELH.
Trimark pays Hilton $0.6MM + 1.16MM shares + 0.7%bpo ELH and gets 1% ELH.

Net result:

Berkley gains $3.9MM.
Berkley loses 11% GSJ & 2%bpo ELH.
Hilton gains 1.16MM shares TMK (~$1.0MM) & 7% GSJ & 2.0%bpo ELH.
Hilton loses $0.85MM & 1% ELH.
Trimark gains 4% GSJ & 1% ELH.
Trimark loses $2.05MM & 1.16MM shares (~$1.0MM).

It looks to me like Trimark is paying $3 million for 4% in the GSJ play and 1% in ELH the play.
It also looks like Hilton is essentially paying only 1% of it's ELH stake for 7% in the GSJ play and a temporary 2% in ELH.
(Hilton is paying near fair value for the TMK shares, at $0.85MM)

I'd say Hilton and Berkley are the big winners here.
It looks like Trimark got the bum rap.
