Dear Bonzo: My understanding is that TAVA pays the costs of obtaining an appraisal etc if the Dissenters disagree with their calculation of Fair Value. Later, a Judge rules whether or not the Dissenters were Unreasonable in not accepting TAVA's offer. If the judge were to find them unreasonable he may award a portion of the payout to TAVA for reimbursement. On the other hand, a review of the public stock prices over the past year as outlined in the proxy statement sure makes $8 look unreasonable to me.
As to WHY would JJ take this offer. Check out the proxy, calculate the monies he gets UP FRONT plus the carryover of his options at the reduced price. He personally is making MILLIONS on this deal. He never was well to do before, now he will be. Does that make any sense to you?? JDN
