I would say that the need for a private placement or secondary offering to increase assets to meet NASDAQ or AMEX listing requirements seems quite likely to me.

First, I will comment that the company projects it is not interested in gaining a major exchange listing in the near term. This gives them time to accumulate assets through generation of earnings. The cash flow generated from the earnings can be used for capital (such as the off site equipment installations they are performing, and purchasing rather than leasing equipment.

To do a secondary offering just to raise net assets to get an exchange listing would be counterproductive. More shares would mean a lower price (from dilution), moving them further away from the other qualification, price requirements. We know how they could fix that. But remember Don has 1M shares plus options, and IMO all those manipulative maneuvers would do more harm than the benefit of the exchange listing.
