This could be interesting.

When you think about it, CMGI doesn't need to acquire any more of Alta Vista than it needs in order to clear the SEC's bar and avoid being treated as a mutual fund. After all, CMGI is likely using it's own currency (aka stock value) to make the acquisition. And unlike the normal and customary behavior that occurs while shopping at Costco or Pace's, there's no need to by a package of 30 pitas when all you need is 16.

So if CMGI acquires less than a 100% interest in AV, but something more than a controlling interest (50.1%), it's still has the makings of an elegant acquisition.

Now all we have to do is wonder about its pricing....
