("Pacific Capital"), to sell shares pursuant to the terms of a Confidential Offering Memorandum dated July 2, 1998 ("Pacific Capital Offering"). Pacific Capital purchased 2,092,500 shares at $0.7168 per share for a total of $1,500,000, of which 754,045 shares were sold under Rule 504 of Regulation D, and the remaining 1,338,455 under Regulation S."
