I've read a lot of form 8-k's over the years, but this is the first time I've seen the form used this way.

There are several questions that come to mind.

Why are they doing this, rather than focusing their efforts on running a business?

Given that they want to distribute this announcement, why use an SEC filing rather than a newswire?

The content of the filing includes a forward-looking statement, that the company plans to do something, but it doesn't appear to invoke any safe-harbor provisions. Does that omission put the company at some risk?

Did the filing leave the company vulnerable to federal laws against making false statements in a filing?

Is the language in the filing defamatory to Janice, when it states: "Janice Shell and her co-conspirators continue to spread lies"? I don't see an obvious defense if Janice were to complain that the company's statement was untrue and defamatory. They could have constructed the statement as a verifiable fact if they had written something different (for example if they had actually filed a suit, they could report as a fact that the company had filed a suit that made the following claims ...)
