SIII's statement is a forward looking statement about the future. The lawyers wouldn't have a case if this future view does not pan out.

Go and take a look at DIMD's true financials, the ones with the inventory write-downs and restructuring charges every year, then tell me SIII is going to be profitable after buying DIMD. No dice.

SIII is trying to get the street excited about the acquisition prospects of DIMD so that the acquisition will be approved by the shareholders. This is the reason why they released that fluff statement.
