The company's plans are to file either a registration statement or a Form 10 in the near future. Assuming they close on the acquisition they have pending -- it will be a couple of months (more than likely). If for any reason the acquisition does not pan out, then the time frame will be reevaluated. It may be submitted earlier, or, if another deal can be put together soon -- then another time frame will be set. The process to file it is not all that easy. You need audited financial statements -- which means you must audit from day 1. Given that the company operated as a private entity for same time -- they did not initially do SEC "qualified" audits. Both forms must be approved by the SEC, not simply submitted - there are comment period for the SEC where they will ask for clarifications and additional information. So any company filing this will want to spend time to reduce the number of potential comments, thereby reducing additional accounting and legal costs. Anyway, the process is underway and the company is hard at work. Above, I mentioned that the deal may or may not through. I say that not as an indication of probability or problems. I am simply not trying to make an indication one way or another, nor am I trying to hype the stock on rumors of huge deals pending or make any false or misleading statements.
