But, the '33 Act, the first one, addressed the flow of information for new stock offerings, requiring full and fair disclosure of material information.>> Reminds me of a "prospectus" I viewed (in a study about the Great Crash) that described the company issuing stock as, "A venture of great importance and immense profitability, of which the details of the business operations must remain a secret." The offering was immediately fully subscribed. ; ) (Interesting, isn't it, how many people today think that the Great Depression was caused primarily by the Crash of 1929.) Best.
