Texas Instruments Aligns Distribution Channel with Strategic Direction to Grow Leadership in DSP and Analog Channel Assessment Results in Increased Focus on Fewer Distributors

DALLAS - July 2, 1999 - Texas Instruments (NYSE: TXN) today announced changes in its distribution network to further strengthen the company's position as the world leader in DSP and analog. The result is a more focused distribution network, whose demand creation and logistics capabilities are best suited to drive TI company objectives and serve future technical and business needs of customers.

"TI is the world leader in DSP and analog. Over the past several months we've assessed the best way to align TI's priorities and strategic direction with the capabilities and objectives of its distributors," said John Simari, Director, Worldwide Distribution, Texas Instruments. "TI is a different company today. Our product portfolio of leadership DSP and analog products demands seamless technical and business support from TI and its distributors. We believe this is best accomplished through a more narrow, focused distribution network."

TI's distribution channel will continue to include large, multinational distributors and select niche distributors, as TI's assessment proved a strong combination best meets customer's business and technical requirements. By focusing on deeper relationships with fewer distributors, however, customers designing with TI will receive stronger technical expertise and support on their applications, and increased access to information, design services, integrated fulfillment and logistics support.

As a result of TI's decisions, TI will discontinue relationships with Eurodis (Central Europe), Future Electronics (Americas), Sagitron (Spain) and Tekelec (France) after a transition period. During the transitions these distributors will continue to be authorized, and TI will work to ensure no degradation in the areas of service and support.

"Our priority during the transition is to provide uninterrupted support to customers," Simari said. "As a result of these changes, we believe TI and its distributors will bring the best combination of technologies and services to those designing with TI's DSP and analog products."
