Anacomp Announces Agreement for Purchase of Litton Adesso Software, Inc.

Acquisition of Premier Provider of Internet Document Delivery Further

Enhances Industry-Leading Digital Services Business

SAN DIEGO, July 8 /PRNewswire/ -- Anacomp(R), Inc. (Nasdaq: ANCO), a world leader in digital document-management services, today announced that it has signed a definitive agreement to purchase the stock of Litton Adesso Software, Inc., a leading provider of Internet-based solutions for customer-service applications in the document-management industry.

Adesso Software is a leader in the emerging area of Internet document storage and presentment and has developed the premier technology for high-volume document archival and presentment applications. Using a patented data-compression technology, open-database architecture, and feature-rich document-presentment software, Adesso Software's TASC-COLD offering is able to archive and present a greater number of documents at substantially lower cost than other solutions currently on the market. Other key features of this software solution include tight integration with third-party billing and customer-service applications, performance scalability to address small to extremely high volumes of documents, and superior Internet functionality.

Based in Reading, MA, Litton Adesso Software currently has approximately 40 employees and is a subsidiary of TASC, Inc., a division of Litton Industries. The Adesso unit will continue to operate from its current location following the close of the transaction.

The transaction, which is contingent on regulatory approval, is expected to close within 45 days.
