Norm,

Would the partnership not buy the unit for less than $1.5mil. After all the partnership needs working capital to pay employees , do repairs. Otherwise a plant breakdown kills the operation - unless the general parner has agreed to fund the costs. On the otherhand, the unit needs to be transferred at fair amrket value otherwise the company shareholders have a gripe.
