The percentage would be anything over 50%, "a majority", of the outstanding shares. GNC management supports this tender offer so it is likely that the the offer will attract sufficient shares to consummate.

Some GNCI holders have already sold on the open market at something less than $25/share. I don't understand their reasoning. Why not hold and see what happens? If for some reason, the deal with Numico doesn't go through, it could lead to other, possibly better offers - from Numico or perhaps someone else. If it does consummate, as seems likely, you will at least get your $25/share.
