 IVS Intelligent Vehicle Systems Inc. is a public company listed on the Vancouver Stock Exchange (trading symbol: IVM).  The Company's products enable service technicians to communicate with a vehicle's operating systems, via its on-board computer, in real time, locally or remotely, while the vehicle is stationary or mobile. This capability enables a technician to monitor and evaluate a vehicle's operating performance, and to make fundamental diagnostic decisions that can be relayed to the vehicle's operator, fleet manager, and repair center.
 
 Concurrently, a repair technician is able to transmit all the performance data from the vehicle's on-board computer to a GE Technical Assistance Specialist, and together and simultaneously, to analyze and evaluate this data to fundamentally diagnose the specific cause of a vehicle's failure. The IVS products can also incorporate other capabilities such as Global Positioning Systems (GPS), exhaust analyzers, and anti-theft security systems.
 
 There is no other product available that can provide these comprehensive features. As a result, several leading vehicle test equipment manufacturers are negotiating strategic agreements to acquire the IVS/GE technology. By integrating the IVS technology, these companies will advance the capabilities of their existing vehicle test products, the effectiveness of their equipment and technicians, and also satisfy the stringent requirements of the emissions testing programs.
 
 The demand for accurate vehicle diagnostic capabilities is driven by the service requirements of today's computer-enhanced vehicles, environmental legislation, and competitive economics. The inability to accurately diagnose the cause of failures in modern vehicles is driving up warranty and maintenance costs. As well, The 1990 Clean Air Act mandates that all vehicles must satisfy minimum emissions standards and that technicians performing the subsequent repairs on any substandard vehicles must have access to a Technical Assistance Hotline. Consequently, the demand for accurate, and improved, diagnostic capabilities to effect more cost-effective repairs is driven by the end-consumer, legislation, manufacturers, and the warranty companies themselves.
 
 At this time, IVS is targeting both the long haul truck and light vehicle markets. IVS intends to supply these two expansive markets through strategic partnerships with North America's leading manufacturers and suppliers of vehicle test equipment.
 
 To this end, IVS has developed the following industry relationships:
 
 A collaborative Agreement with GE Capital Fleet Services (GE) to jointly market IVS's diagnostic systems combined with GE's automotive repair Hotline and truck fleet maintenance services. A Memorandum of Understanding with the Hewlett-Packard Company (HP) to provide manufacturing and quality control, and to assist with new product development. A Letter of Intent with SPX Automotive Diagnostics Inc. (AD) to manufacture and distribute IVS products to the automotive repair industry and the state automotive emission testing outlets. A Letter of Intent with Mack Truck Inc (Mack), whereby Mack Truck will purchase and install Smartlink Mobile Failure Detection Systems on Mack's new line of heavy duty trucks.
 
 IVS intends to capitalize on these relationships to supply its products to the automotive and truck markets and to position its technology as the industry standard for vehicle diagnostics, testing, maintenance, and repair. The success of this approach has already been demonstrated - in September, 1996, IVS and GE Capital Fleet Services signed a Letter of Intent with Mack Truck, whereby Mack Truck will purchase and install Smartlink Diagnostic Systems on Mack's new line of heavy duty trucks.
 
 1997 promises some significant business development milestones for IVS. In association with industry leaders in the manufacturing and distribution of vehicle test equipment, IVS intends to capitalize on its current success in the truck manufacturing market, and to launch its products to the automotive and truck service and repair industries.
 
 By offering a new concept in vehicle maintenance and reliability, IVS's industry partners, and their end-users, will benefit from improved competitive positioning, increased margins, and reduced warranty and maintenance costs.
