On May 5, 1999, the Company completed the sale of 2,300,000 shares of Series A Convertible Participating Preferred Stock ("preferred stock"). Net proceeds approximated $13,700,000. In addition, the Company issued warrants to purchase 595,000 shares of common stock at $9.53 per share to the purchasers of the preferred stock.The preferred stock is convertible into shares of common stock on a one-for one basis (subject to adjustment) at any time by the holder and under certain conditions by the Company.
