FORT WASHINGTON, PA., June 16 -- Biosonics, Inc., (OTC BB:BISN) a Fort Washington, Pennsylvania company, and Growth Fund Partnership, Inc., a
Florida-based corporation, announced today that they had entered into an agreement to create a new company to be owned 80% by Growth Fund and 20% by
Biosonics. It is contemplated that all the assets of Growth Fund will be transferred to the new company.

Biosonics is a publicly traded biomedical company. Growth Fund is a private Florida corporation whose financial statements, as of January 15, 1997, show a book
value of approximately $2.6 billion, which consists of mining interests, undeveloped land in the U.S. and South America, and an interest in a financial service
company.

The consummation of the transaction is conditioned upon certain legal, accounting, and regulatory reviews.

Biosonics believes that if the transaction is consummated, it will provide Biosonics with an asset base that could enable it to fund its marketing and manufacturing

Growth Fund Partnership believes that the consummation of the transaction could provide liquidity to its stockholders."
